Transmission is gone?

Transmission is gone?
I think the ol' tranny bit the dust but I just wanted to make sure i wasn't missing something.
The Problem: I've lost reverse and OD (although it may just have to rev up past 3/4 throttle to shift and that's why OD is gone... not sure though) The Trannie fluid is burned a little, not as red as it used to be. The car does have 107k miles on it, that's why I think it just needs to be rebuilt... but if i can get out of this for less then a rebuild that would be cool.
