Auto tranny: reverse/OD gone...replace or rebuild?

***i've tried searching for 30 mins ***

Just trying to find out what causes the transmission to no longer engage in Reverse or not shift into OD. I was cruising along at 80mph the other day and the car just kicks up to 3k rpms and would not go into overdrive. I get to a gas station, checked the fluid and it was good but very very black. I get in and reverse doesn't work...I can here a very slight rattling/clanging inside the tranny.

Is it the clutch packs or bands?

I can take off in 1 and it won't shift to 2nd but when I put it in 3 it will eventually shift into it.

All help is appreciated,
-Alex

what model of transmission do you have? if its a 4l60 then you probably have burned bands. i have had to rebuild mine twice, i keep shredding the 2-3 band. now that its in the shop for christmas, im putting in a th350.
