Any difference between the 2 rear ends, or direct replacement?

Do you mean the complete assembly? The only difference in the V8 cars is whether the rear axle assembly is equipped for ABS (3-channel, reluctor on carrier, sensor on top of center section) ot ABS + TCS (4-shannel, reluctors behind axle hubs and sensor in the backing plates). As long as you get the correc ABS and or TCS setup, they are fully interchangeable. The gear ratios may be different as well.

Ya sorry. I might have a chance to swap rear ends with a guy that put some 3.73's in his 95 A4 but now he wants something better for highway. He wants to swap it with a 3.42 rear, which I have, but mine is a 96 M6. I dont have TCS and I dont think he does either. Ill have to ask. So if neither are TCS equipped they will swap out no prob?

yes if the rears are the same ABS systems either both traction control or both non traction control, then its a direct swap.

Ok thanks for your help. After a little further reading in to it. It looks like a 3 channel and no TCS, or a 4 channel with TCS. Thanks guys.
