4L60e taking too long to shift into second

My trans is taking awhile to shift into 2nd, and then as soon as it does it throws the cel. I made sure that it was topped off on fluid, but the fluid does smell a little burnt and is starting to get a brownish tint. I had the trans rebuilt about 40k ago and haven't changed the filter or fluid since then. I also don't have an auxilary tranny cooler, I'm just using the stock one in the radiator. I can't at this time check the codes because I can't drive it to get it to a scanner (not registered or insured). It also has a little dripping coming off of the bottom of the tail shaft. I am trying to sell the car, but if it is something simple like changing fluid or anything short of a rebuild then I will fix it and get a little more money out of it. Any suggestions? Hopefully in a week or two I can get it on a scanner but I want to sell it before that. TIA

Changing the filter & fluid is a cheap & easy first step in diagnosing the problem.
