Question Will this 2002 rear end work in my car?

A friend is willing to sell me a Zexel torsen posi and 3.23 gears for 75$. It's supposed to have come out of a 2002 V6 with only 4K. Will it fit in my 1994 Z. I orginally had 2.73's (have broken 3.73's), so I have to use a 2 series carrier. By changing the posi out and putting in a new shim kit, will it work? Also, Do I have to worry about ABS, reluctor gears and such? I'm looking for something a little more highway and gas freindly. I've never had 3.23's are they even worth it for 75$? Thanks.
